Assam Digital aims to deal with its clients in a professional, timely and favorable manner. By engaging Assam Digital with their business, the clients will be accepting the following terms and conditions:

You acknowledge that you will be bound by this Agreement for availing any of the Services offered by us. If you do not agree with any part of the Agreement, please do not use the Website or avail any Services.

Your access to use of the Website and the Services will be solely at the discretion of Assam Digital. The Agreement is published in compliance of, and is governed by the provisions of Indian law, including but not limited to:

• the Indian Contract Act, 1872,

• the (Indian) Information Technology Act, 2000, and

• the rules, regulations, guidelines and clarifications framed there under, including the (Indian) Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011 (the “SPI Rules”), and the (Indian) Information Technology (Intermediaries Guidelines) Rules, 2011 (the “IG Rules”).

The Contract

An independent contractor relationship will be created between the clients and Assam Digital, and that no partnership or joint venture is intended or implied by either party.

A date of commencement of the services will be agreed upon by both parties and charges will be applicable according to that date.

A monthly report of performance services will be given to the clients.

Either party may not cancel or fully transfer the service responsibilities to another service vendor before a prior notice of at least 10 business days.

Assam Digital reserves the right to subcontract a third party service provider for some of the service tasks.

A person who is not a party to the Contract shall not have any rights under or in connection with it.

Services

Assam Digital Provide Services like digital marketing, Website Design and development, Software development, etc as per available on www.assamdigital.com to its clients.

Assam Digital also provide services as a form of product to our partners on our Website and app solely owned and developed by us.

Services offered to the clients on behalf of our Partners through our Website and App known as “Products” are solely owned by Assam digital and Assam Digital have complete rights to terminate services to any partner without any prior notice.

Payment

If clients avail any monthly service package of Assam Digital (such as Digital Marketing), then they are obliged to pay a full chargeable amount prior to the commencement of the work. All monthly services are prepaid, and work for the billing period will begin only after payment is received in full.

If Assam Digital and the client agree on a fixed quote regarding any services (such as website development), they are liable to pay 50% of the billable amount in advance, prior to the commencement of the work. The remaining 50% of the payment will have to be made before final delivery of the required service.

Assam Digital shall invoice the clients after receiving payment as per terms of our service.

Assam Digital reserves the right to terminate the services immediately if terms of payment are not followed by the client after reminder.

Payment of services on our website www.assamdigital.com is carried through bank transfers as per terms with our clients. No third party payment gateway is involved for the payment of services listed on our website www.assamdigital.com.

Liability

Assam Digital will not be liable for any indirect or consequential losses due to delay in obligated service deliverables, where the delay is because of natural or ungovernable causes.

The clients will defend, cover and hold Assam Digital harmless from and against any and all claims, losses, liabilities and expenses related to the services provided by Assam Digital to the clients under this agreement, including without limitation claims made by third parties related to any false advertising claims, liability claims for products or services sold by the client, claims for patent, copyright or trademark infringement, claims due to disruption or malfunction of services provided, or for any content submitted by you for publication by Assam Digital .

Due to the nature of digital media, any content/information given by the clients to Assam Digital for publication will be accessible by the public as soon as the publication is carried out. Assam Digital will not be responsible for screening the material and any damages or losses of profit, goodwill or any business asset due to the nature of content being publicized.

Waiver

If at any time during the term of a service contract, we fail to insist upon the strict performance of any of your obligations under the service contract or any of these terms and conditions, then this will not automatically free of you from any of the obligations mentioned in the terms and conditions and will not constitute a waiver.

Any waiver of term and conditioned will be valid officially only if it is communicated to you in writing.

Privacy Rights

Information, like name, email, contact number, website URL that the clients provide us by filling the contact form will be kept confidential and not be exposed to a third party, without their prior consent. However, the information will be made privy to the employees of Assam Digital .

Assam Digital will take reasonable precautions to prevent the loss, misuse or alteration of your personal information.

The transfer of data over the internet is inherently insecure, and any kind of security in this regard cannot be guaranteed by Assam Digital .

Although, we use SSL encrypted technology for making any kind of money transaction to ensure maximum security against online theft and fraud.

Cookies are used to track the browsing information/preferences of web users and we may use Cookies to gather statistical data about your browsing pattern for optimizing our site.

Some of the third party advertisers who have their ad links on our website may also use Cookies to gather statistical information about you. However, in no way Cookies give access to any of your personal information either to us or third party entity.

CONTENT OWNERSHIP AND COPYRIGHT CONDITIONS OF ACCESS

The contents listed on the Website are:

1. User generated content, or

2. Belong to Assam Digital and its Partners.

The information that is collected by Assam Digital directly or indirectly from the Users shall belong to Assam Digital and its Partners. Copying of the copyrighted content published by Assam Digital or its Partners on the Website for any commercial purpose or for the purpose of earning profit will be a violation of copyright and Assam Digital and its Partners reserve their rights to take action under applicable law accordingly.

Assam Digital authorizes the User to view and access the content available on or from the Website solely for ordering, receiving, delivering, sharing, storing and communicating only as per this Agreement. The contents of the Website, App, information, text, graphics, images, logos, button icons, software code, design, and the collection, arrangement and assembly of content on the Website (collectively, “Assam Digital Content”), are the property of Assam Digital or its Partners and are protected under copyright, trademark and other applicable laws. User shall not modify the Assam Digital Content or reproduce, display, publicly perform, distribute, or otherwise use the Assam Digital Content in any way for any public or commercial purpose or for personal gain.

User shall not access the Services for purposes of monitoring their availability, performance or functionality, or for any other benchmarking or competitive purposes.

Website Development, Renewal, and Intellectual Property

1. Development Rights Banner: For all website development projects, Assam Digital reserves the right to include a discrete banner or link in the website footer (e.g., “Website Designed & Developed by Assam Digital”). This banner will remain active unless a specific non-confidentiality or white-label agreement is signed by the client, for which a separate fee may apply.

2. Website Renewal: All recurring services, including but not limited to domain registration, website hosting, and annual maintenance contracts, must be paid for before the due date. Failure to make timely payment may result in the suspension or termination of services.

3. Liability for Non-Renewal: Assam Digital will not be held responsible or liable for any business stoppage, website downtime, loss of data, domain expiration, or any other consequential damages arising from the client’s failure to make renewal payments on time.

4. Code Intellectual Property (IP): All custom source code, software, and intellectual property developed by Assam Digital shall remain the sole and exclusive property of Assam Digital. The client is granted a license to use the software on their website while they are a paying client of Assam Digital.

5. Code Handover: If a client wishes to terminate their service and move their website to another provider, they may request a transfer of the website’s files. This transfer is subject to a one-time code handover fee to cover the packaging and transfer of the intellectual property. The standard handover charges are as follows:

   • WordPress Website: ₹3,000

   • Shopify or E-commerce Website: ₹5,000

   • Custom Development Files (e.g., PHP, React, Node.js): ₹8,000
